You are already legally allowed to operate once you incorporate. Recognition is a <strong>status<\/strong> that makes you eligible for a set of government benefits tax holiday eligibility, government tender relaxations, patent fee rebates, seed funding schemes and labour law self-certification.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">R<strong>ecognition and the tax exemption are two different approvals<\/strong>. Recognition is granted by DPIIT. The Section 80-IAC tax holiday needs a separate application to the Inter-Ministerial Board.<\/p>\n\n\n\n<div id=\"ez-toc-container\" class=\"ez-toc-v2_0_84 counter-hierarchy ez-toc-counter ez-toc-grey <strong>G.S.R. 108(E)<\/strong> on <strong>4 February 2026<\/strong>, replacing the 2019 framework. The eligibility rules have changed, and some companies that crossed the old \u20b9100 crore limit may now be eligible.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Who_Is_Eligible_for_DPIIT_Startup_Recognition\"><\/span><strong>Who Is Eligible for DPIIT Startup Recognition?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Your company qualifies for DPIIT startup recognition in 2026 if it meets <strong>all five<\/strong> of these conditions:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>It is a <a href=\"https:\/\/whizseed.com\/service\/private-limited-company-registration\"><strong>Private Limited Company<\/strong><\/a><strong>,<\/strong> <a href=\"https:\/\/whizseed.com\/service\/online-llp-registration-india\"><strong>LLP<\/strong><\/a><strong>, Registered<\/strong> <a href=\"https:\/\/whizseed.com\/service\/partnership-firm-registration\"><strong>Partnership Firm<\/strong><\/a> <strong>or Cooperative Society<\/strong><\/li>\n\n\n\n<li>It is <strong>not more than 10 years old<\/strong> from incorporation (20 years for Deep Tech startups)<\/li>\n\n\n\n<li>Its annual turnover has <strong>never crossed \u20b9200 crore<\/strong> in any financial year (\u20b9300 crore for Deep Tech)<\/li>\n\n\n\n<li>It was <strong>not formed by splitting up or reconstructing<\/strong> an existing business<\/li>\n\n\n\n<li>It works on <strong>innovation, improvement, or a scalable business model<\/strong> with potential for employment or wealth creation<\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\">Recognition is applied for on the <a href=\"https:\/\/whizseed.com\/blogs\/startup-india-new-rules-%e2%82%b9200-crore-turnover-limit-explained\/\"><strong>Startup India<\/strong><\/a> portal and the National Single Window System, it is <strong>completely free<\/strong>, and decisions usually come in <strong>2 to 10 working days<\/strong>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"DPIIT_Eligibility_Rule_1_Company_Type\"><\/span><strong>DPIIT Eligibility Rule 1: Company Type<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Only these four structures can be recognised:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Private Limited Company<\/strong> (under the Companies Act, 2013)<\/li>\n\n\n\n<li><strong>Limited Liability Partnership (LLP)<\/strong><\/li>\n\n\n\n<li><strong>Registered Partnership Firm<\/strong><\/li>\n\n\n\n<li><strong>Cooperative Society<\/strong> \u2014 Multi-State, or registered under a State or UT cooperative law (new from 2026)<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Not eligible:<\/strong> <a href=\"https:\/\/whizseed.com\/service\/sole-proprietorship-registration\"><strong>sole proprietorships<\/strong><\/a>, Hindu Undivided Families (HUFs), and any business that is not formally registered with a regulatory authority.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Two practical notes founders keep getting wrong:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>You cannot apply before incorporating.<\/strong> Recognition cannot come before the company exists. If you are running as a proprietorship, convert first.<\/li>\n\n\n\n<li><strong>company type also affects the tax holiday later.<\/strong> Section 80-IAC is available only to Private Limited Companies and LLPs. A Registered Partnership Firm can hold DPIIT recognition but can never claim the 80-IAC deduction. If the tax holiday is part of your plan, choose your structure with that in mind.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"DPIIT_Eligibility_Rule_2_Age_of_the_company\"><\/span><strong>DPIIT Eligibility Rule 2: Age of the company<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Your company must be within <strong>10 years from the date of incorporation or registration<\/strong>. For Deep Tech startups, this extends to <strong>20 years<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The date that counts is the incorporation date on your certificate, not the date you started operations, not the date you got your first customer, and not the date you left your job to work on it full time. There is no grace period and no extension request. If the company is 10 years and one month old, it is out.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"DPIIT_Eligibility_Rule_3_Turnover_Limit\"><\/span><strong>DPIIT Eligibility Rule 3: Turnover Limit<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Annual turnover must not have exceeded <strong>\u20b9200 crore in any financial year since incorporation<\/strong> (\u20b9300 crore for Deep Tech startups).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Three quick clarifications:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Turnover means total revenue, not profit. A loss-making company with high sales can still be over the line.<\/li>\n\n\n\n<li>It applies to any year since incorporation, not only the current one.<\/li>\n\n\n\n<li>It is verified against your audited financials and ROC or <a href=\"https:\/\/whizseed.com\/service\/income-tax-return-filing\"><strong>Income Tax filings<\/strong><\/a>, so the number in your application must match your filings.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"DPIIT_Eligibility_Rule_4_The_Original_company_Test\"><\/span><strong>DPIIT Eligibility Rule 4: The Original company Test<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The company must be genuinely new. You cannot create a new company by simply dividing or restructuring an old business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example, if you already have a family business, you cannot register another company for the same work and call it a new startup just to get benefits.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But previous business experience is not a problem. A founder who has run another business can still start a new startup. What matters is whether the new business is genuinely different, with new products, operations, or a new value proposition.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"DPIIT_Eligibility_Rule_5_The_Innovation_and_Scalability_Test\"><\/span><strong>DPIIT Eligibility Rule 5: The Innovation and Scalability Test<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Your company must be working towards innovation, development or improvement of a product, process or service, or have a scalable business model with high potential for employment generation or wealth creation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Business models that are routinely rejected:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Pure <strong>trading<\/strong> \u2014 buying goods and reselling them without adding anything<\/li>\n\n\n\n<li><strong>Reselling services<\/strong> with no differentiation<\/li>\n\n\n\n<li><strong>Non-scalable local businesses<\/strong> \u2014 a single restaurant, salon, coaching centre or retail shop<\/li>\n\n\n\n<li>Standard <strong>agency or consulting work<\/strong> described in generic terms<\/li>\n\n\n\n<li>&#8220;We are building an app for X&#8221; with no explanation of what makes it different from the ten existing apps for X<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The innovation and scalability test is real and it is actively applied. Applications are reviewed manually by government officials, not auto-approved by software.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"How_to_Write_an_Innovation_Statement_That_Gets_Approved\"><\/span><strong>How to Write an Innovation Statement That Gets Approved<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Since a weak innovation description causes roughly <strong>70% of rejections<\/strong>, this section is worth more than the rest of the article combined.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>What does not work:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>&#8220;We provide quality services to our customers.&#8221;<\/li>\n\n\n\n<li>&#8220;We use the latest technology and AI.&#8221;<\/li>\n\n\n\n<li>&#8220;We are a technology-driven company with an innovative approach.&#8221;<\/li>\n\n\n\n<li>&#8220;We use AI to optimize supply chains.&#8221; <em>(Yes, even this \u2014 because it names a field without explaining the actual innovation.)<\/em><\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>A structure that works.<\/strong> Write four short paragraphs:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>The problem.<\/strong> Who suffers from it, and how big is it? Be specific and factual. &#8220;Small pharmacies in Tier II cities lose stock worth X% every year to expiry because they track inventory on paper.&#8221;<\/li>\n\n\n\n<li><strong>Your solution and what is new about it.<\/strong> Not the category, the actual mechanism. What do you do that existing options do not? If you have a technical approach, name it.<\/li>\n\n\n\n<li><strong>Evidence.<\/strong> This is what separates approved applications from rejected ones. A patent application number, a working prototype, pilot results, user numbers, revenue, a customer letter, research output, an incubator association \u2014 anything real.<\/li>\n\n\n\n<li><strong>Scalability and employment.<\/strong> How does this grow beyond your current city or first hundred customers, and what does that mean for hiring?<\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Treat the application like your first investor pitch<\/strong> \u2014 clear, factual, evidence-backed. Careless forms with one-line descriptions get rejected without any negotiation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Add a pitch deck.<\/strong> It is technically optional in the form, but it gives the reviewer context and makes your innovation claim credible. If you cannot show evidence of your IP and R&amp;D spending, consider applying under the regular category.
