It can own property, sign contracts, sue and be sued in its own name, and it continues to exist even if the owners change.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Key features of Private Limited Company:<\/strong><\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Needs at least <strong>2 shareholders and 2 directors<\/strong>, and at least one director must be resident in India. The same two people can be both shareholders and directors.<\/li>\n\n\n\n<li>Shareholders&#8217; liability is limited to the money they put in, so personal assets are protected in normal circumstances.<\/li>\n\n\n\n<li>Ownership moves by <strong>transferring shares<\/strong>, which is why investors like it.<\/li>\n\n\n\n<li>It can issue <strong>ESOPs<\/strong> to employees.<\/li>\n\n\n\n<li>Registration happens through the MCA&#8217;s <strong>SPICe+ form<\/strong>, which bundles name reservation, DIN, PAN and TAN. It is registered under the <strong>LLP Act, 2008<\/strong> through the <strong>MCA<\/strong>.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Key features of LLP:<\/strong><\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Needs at least <strong>2 partners<\/strong>, with no upper limit, and <strong>2 designated partners<\/strong>, one resident in India.<\/li>\n\n\n\n<li>Each partner&#8217;s liability is limited to their agreed contribution, and importantly, <strong>one partner is not liable for another partner&#8217;s independent wrongdoing<\/strong>. In a firm where several partners sign off on client work separately, that protection is real.<\/li>\n\n\n\n<li>The internal rules come from the <strong>LLP Agreement<\/strong>, which you can draft to suit yourselves. Filed in Form 3 within 30 days of incorporation.<\/li>\n\n\n\n<li>Registration uses <strong>LLP-RUN<\/strong> for the name and <strong>FiLLiP<\/strong> for incorporation.<\/li>\n\n\n\n<li>Annual filings are just <strong>Form 11<\/strong> (annual return, within 60 days of the financial year end) and <strong>Form 8<\/strong> (statement of accounts and solvency, within 30 days from the end of six months of the financial year).<\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Advantage:<\/strong> a statutory audit is required <strong>only if turnover crosses \u20b940 lakh or contribution crosses \u20b925 lakh<\/strong>. A small LLP below both limits saves real money every year.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Limitation:<\/strong> no ESOPs, and venture investors almost never invest in LLPs because their fund documents are built around shareholding.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_Is_an_OPC\"><\/span><strong>What Is an OPC?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">An <a href=\"https:\/\/whizseed.com\/service\/one-person-company-opc-registration\">OPC<\/a> is a company with a <strong>single member<\/strong>, created under the Companies Act, 2013 for solo founders who want limited liability without taking on a partner just to satisfy the law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Key features of OPC:<\/strong><\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>One member, one director minimum, and a <strong>mandatory nominee<\/strong> who steps in if the member dies or becomes incapable. Nominee consent is filed at incorporation.<\/li>\n\n\n\n<li>Only <strong>2 board meetings<\/strong> a year are needed instead of 4, and one-director OPCs are relieved of several meeting formalities.<\/li>\n\n\n\n<li>Registered through <strong>SPICe+<\/strong>, same as a Pvt Ltd, and also needs <strong>Form INC-20A<\/strong> within 180 days.<\/li>\n\n\n\n<li>The member must be an <strong>Indian citizen<\/strong>. Since the 2021 amendment, <strong>NRIs holding Indian citizenship can also incorporate an OPC<\/strong>, and the residency requirement was reduced from 182 days to 120 days.<\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Limitations:<\/strong> statutory audit is mandatory regardless of turnover, no ESOPs, and no practical route for outside equity because there can only be one member.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Which_Business_Structure_Is_Best_for_Startups_Raising_Funding\"><\/span><strong>Which Business Structure Is Best for Startups Raising Funding?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Private Limited is effectively the only workable option.<\/strong> Angel investors, VCs and accelerators invest by buying shares, sometimes through convertible instruments. That machinery needs share capital, a shareholders&#8217; agreement and a cap table. A Pvt Ltd has all three.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>An LLP cannot issue shares.<\/strong> An investor would have to become a partner in the LLP, which changes their legal position, complicates their fund&#8217;s own reporting, and gives them no clean exit through a share sale. Most institutional investors simply decline.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>An OPC cannot take an equity investor at all<\/strong>, because the law allows only one member. The moment you bring in a second owner, it stops being an OPC.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>ESOPs follow the same logic.<\/strong> Only a Pvt Ltd can issue them. If your hiring plan involves offering equity to a senior engineer or a first sales lead, that decision is made at incorporation, not later.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>I<\/strong>f you expect to raise money or hire with stock within 24 months, start as a Pvt Ltd. Converting later is possible but costs time, money and sometimes a lost funding window.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Tax_Comparison_Which_Business_Structure_Actually_Pays_Less\"><\/span><strong>Tax Comparison: Which Business Structure Actually Pays Less?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>Pvt Ltd and OPC:<\/strong> 22% under Section 115BAA, plus 10% surcharge and 4% cess, giving an effective rate of about <strong>25.17%<\/strong>. Important detail many pages get wrong: a company that opts for 115BAA is <strong>not liable to MAT<\/strong> under Section 115JB. You cannot pay 22% and also pay MAT.<\/li>\n\n\n\n<li><strong>LLP:<\/strong> flat <strong>30%<\/strong>, plus 4% cess and a 12% surcharge only where income exceeds \u20b91 crore. So an LLP below \u20b91 crore pays about <strong>31.2%<\/strong>.<\/li>\n\n\n\n<li><strong>LLPs have no MAT<\/strong>, but they can be caught by <strong>Alternate Minimum Tax (AMT)<\/strong> if they claim certain deductions. It is not the same as MAT, and it does not hit every LLP, but &#8220;LLPs pay no minimum tax&#8221; is too simple a statement.<\/li>\n<\/ol>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The second layer of tax.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Company profits get taxed twice. Once in the company, and again in your hands when you take the money out as dividend, taxed at your personal slab rate. LLP profits are taxed once, at the LLP level. Your share of profit received as a partner is not taxed again in your hands.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Example.<\/strong> Consider a business that earns <strong>\u20b950 lakh in profit<\/strong>, and the founder wants to take the full amount home. The LLP has already paid 31.2% tax. So, in this situation, the company is better from a tax point of view.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>So the real rule is:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Money stays in the business \u2192 Pvt Ltd or OPC is cheaper.<\/strong><\/li>\n\n\n\n<li><strong>Money comes out every year \u2192 LLP is usually cheaper.<\/strong><\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">An LLP can deduct partner remuneration and interest on capital from its taxable profit. A company can also pay a director\u2019s salary, which can reduce taxable profit. So, check your own numbers before making a decision.
