Following submission of the application and the documents for incorporation and registration, the companies are to be provided a unique 21-character number of their registration identification by the Registrar of Companies, the Company Registration Number (CRN), also referred to as Corporate Identification Number (CIN). ROC keeps track of every business that receives a CIN, or company registration number.

Therefore, every company in India must get a CIN registration number. The focus of this article is to define the company registration number, the process of creating it, and the importance associated with the CIN. 

About Company Registration Number

  • The registrar of companies in the Ministry of Corporate Affairs assigns a unique 21-character alphanumeric identification called the company registration number, or corporate identification number (CIN).  
  • It is a formal identity for a company given in connection with the government database for administrative, finance, and legal purpose.

How is Company Registration Number Created?

  • The status of a company-listed or otherwise-is determined by the first letter of the CIN registration code. If the first letter is “U,” the company is unlisted. If it is “L,” the company is listed and not otherwise.
  • This is followed by five digits that are intended to signify the specific industry the company relates to and what activities it performs.
  • The next two digits of the CIN signifies the state the company was originally registered in-with each state having its own unique code. For example, the state of registration could be put as RJ if the company is incorporated in the state of Rajasthan. 
  • The next four-digit registration number shows the year of the company’s incorporation.
  • CIN is a company registration number assigned by the registrar of companies, whose last six digits comprise the unique identification number for the company.  It sets the business apart from other registered entities and its official identifying number.

Why is Company Registration Number (CIN) Important?

  • Legal Identity: It attests to the business’s registration and legal recognition in India.
  • Compliance: In order to file financial statements, tax returns, and yearly returns with the MCA, a CIN is necessary.
  • Verification: Through the MCA site, stakeholders can use a company’s CIN to confirm its details and authenticity.
  • Transparency: This right of accountability is required as the information of the company is available in the public domain.  

How to Obtain a Company Registration Number?

You need to get yourself registered with the Ministry of Corporate Affairs for getting a Corporate Identification Number (CIN). Here’s a proper procedure: 

Step 1: Get Prepared to Register

Identify if you are a private or a public sector.

Name your entity uniquely while conforming to the guidelines set forth by the MCA with respect to naming conventions.

Collect the necessary paperwork, such as:

  • Director’s PAN and Aadhaar 
  • Registered office address proof
  • Memorandum of Association (MoA)
  • Articles of Association (AoA)

Step 2: Create an MCA account in the Portal.

  • Go to the MCA website.
  • To get the access to company incorporation services, you need to get registered on the portal of MCA.

Step 3: Obtain Certificate of Digital Signature (DSC) 

  • To digitally sign the incorporation forms, each director needs a DSC.
  • Use the approved certification on the MCA website to apply for a DSC.

Step 4: Obtain the Director Identification Number (DIN) 

  • Each director need to apply for directors’ identification number (DIN) with the SPICe+ form (Simplified Proforma for Incorporating Company Electronically Plus).  
  • Any company that wants to appoint directors must have DIN.

Step 5: Submit the SPICe+ Document

The SPICe+ form can be received via the MCA site and includes:

  • Section A: Application for Name Reservation
  • Section B: Application for incorporation

Fill out the required information; and attach the necessary files and pay the registration fee. 

Step 6: Get the Incorporation Certificate

  • The CIN is awarded to the company after its registration upon RoC approval in the form of a Certificate of Incorporation (CoI). 
  • For future use, get the CoI from the MCA portal.

How to Verify a Company Registration Number?

At the MCA portal, the validity of the company’s CIN may be verified. The steps are:

Step 1: Go to the MCA website.

  • Visit the MCA website.

Step 2: Open the CIN Lookup Engine

  • Choose “MCA Services” from the top menu. 
  • “View Company/LLP Master Data” should be selected.

Step 3: Enter the business’s information

  • Enter the CIN or search using the RoC registration number, firm name, or a combination of these elements.
  • After entering the CAPTCHA code, select “Submit.”

Step 4: Examine the Company’s Information

  • The company’s master data, which includes the company name and kind, will be displayed in the search result.
  • Date of registration
  • Status of directors, and 
  • Status of compliance

This takes care of the openness and makes it possible for interested parties to confirm the validity of any Indian company that is registered.

How to Update a Company Registration Number?

In some cases, like when a company relocates or its type changes, its CIN may need to be amended. This is how to update it:

Scenario 1: Relocation of the State’s Registered Office

  • Whenever a company moves its registered office to another state, the state code in the CIN is changed.
  • Submit Forms INC-23 and MGT-14 to the MCA to request permission to move the registered office.
  • The CIN will be automatically updated upon approval.

Scenario 2: Modification of Business Type

  • The CIN would need to be changed in respect of the change from a Private Limited Company to a Public Limited Company or vice versa.
  • Amendments must be done in accordance with the new company formation regarding the articles of association and memorandum of association.
  • Save the relevant conversion forms (like in Form INC-27) and Form MGT-14.

Scenario 3: Modification of Corporate Name

  • The initials of the CIN that indicates the listing status (such as U or L) may also change if the company’s name changes.
  • After submitting Form INC-24 for name approval, make the necessary updates to all other business registrations.

Steps to Update a Company Registration Number

  • Open the MCA portal and log in.
  • Under the “Company Filing and Compliance” section, file the relevant forms.
  • Pay the relevant fees and submit the necessary paperwork.
  • The new CIN will show up in the MCA database after the clearance.
